Including this agreement. Independent. The users, buyers, sellers are all considered independent contractors. In signing this user agreement, these external parties are in fact activating their membership and are not engaging in an act of partnership or agency, joint venture, employee and employer or franchiser and franchisee relationship. Disputes. By using this website you approve that the internal laws of the Province of Quebec, Canada, supersedes the principles of conflicts of laws, will govern this agreement and any dispute of any kind that arises between both parties and their affiliates. In signing, you agree that any dispute arising from or relating to this website may be resolved only through binding arbitration between you and us under the commercial rules guiding Quebec business entity’s. This arbitration, which shall be conducted in Montreal, Quebec Canada.

Certain information, user information, pricing requests, service offers, may be typographical mistakes, harmful, inaccurate, or deceptive. Please apply common sense and be cautious while dealing with other users of our site. Due to the nature of Hotel Wars.ca. should a conflict arise regarding one or more users, you release Hotel Wars.ca and all employees, management, executive management, agents stock holders, partners, owners, board members from any liability resulting from such conflicts.

This Agreement describes the terms and conditions applicable to your use of our services available under the domain and sub-domains of www.hotelwars.ca, hotelwars.net, hotelwars.info, hotelwars.biz, hotelwars.org. You must read, approve and accept all of the terms and conditions contained in this user agreement before you may become a member of the website. Should Hotel Wars.ca falter technically, by common error, or by force major, Hotel Wars.ca can not be held responsible for any fallout or loss of revenue. Such is also the result should any contact information be disclosed by way of technical or common error.
Amendments to this User Agreement and Legal Disclaimer.
HOTEL WARS.CA may amend this user agreement at any time by posting the amended terms on the website. As such any changes shall be considered honored and live following one month’s time (31 days) from its date of posting. This contract cannot be amended without the express written consent of Hotel Wars.ca.
Membership Eligibility.
Members must make an submit an application form. By submitting the application, the member is approving of the statements set out in this user agreement and legal disclaimer. Hotel members are also required of the HOTEL LISTING CONTRACT. The membership status of the member must be considered active and not expired by Hotel Wars.ca staff. Our services are available solely to, and may only be used by individuals who are recognized by law as being capable of forming legally binding contracts under applicable law. Our website is not available to youth (persons under the age of 18) or to Hotel Wars.ca members whom are suspended. Persons under the age of 18 cannot be members and are not eligible to use the services or facilities of Hotel Wars.ca. With regard to those whom are registering with Hotel Wars.ca as a business, hotel, wholesaler, travel agency, tour operator, group coordinator, meeting planner, or other enterprise, you represent that you have the explicit authority to enter this agreement as binding the enterprise or corporation to this user agreement. Business entities using the services of Hotel Wars.ca such as to receive information requests, reservation requests, rate quotes, RFP’s or any other indirect contact are required to contact at least one vendor. Hotel Wars.ca reserves the right to revoke, suspend temporarily or indefinitely, the membership of its users.
Fees and Services.
Hotel Wars.ca does not accept commissions forth stemming from it’s leads in any way. Listing incoming groups for requests for pricing (RFP) (bidding requests) is a free service provided by Hotel Wars.ca. Hotels (sellers) support our programs through use and through an annual membership fee of an amount set forth in the hotel membership application contract. Hotel Wars.ca reserves the right to increase or decrease the membership fee as discussed in the hotel membership appliaction contract.
Responsibilities of the Hotel Member (seller) (supplier).
Hotels that submit an application contract are bound by the statements set out in this user agreement and legal disclaimer as well as THE HOTEL LISTING CONTRACT. Due to the listing and advertising rights of each hotel member, independant hotels as well as hotels that are a part of a branded Hotel chain, directly owned by the hotel management company, a hotel franchise, co-ops, or other such affiliation allow Hotel Wars.ca temporary use of flag, hotel name, and any trademarks, including logos, and member property images for the limited use of displaying this content on the website. The hotel must ensure the accuracy of their information including, contact information, coordinates, hotel services and one sales manager or proxy by which to conduct everyday business. The hotel is responsible for replying to all RFP’s accordingly. The hotel is obligated to engage the seller by replying in a timely manner. The hotel is responsible for tracking said business leads in an organized fashion. The hotel is required to reply to each individually electronically submitted RFP within *24 hours. Hotel Wars.ca will not elaborate, illuminate, or otherwise enhance the position or contact information of the seller. The seller retains full privacy rights, until the seller makes direct contact with the selected property. Should your hotel be selected to be actualized by the buyer inside the time the RFP is consider active (during the time allowed as set forth in the RFP) you are obligated to complete the transaction with the buyer or offer a reasonable compensation such as a farm-out. By bidding on a RFP you automatically approve and engage the conditions of sale to be binding at that moment until the allowed time should lapse. Bids are not amendable or retractable, save for the following occurrences: the identification of the seller remains opaque passed the deadline for allowed time, a typographical error is committed by Hotel Wars.ca, the buyer or the seller, when the seller, changes the group's content or description after your bid has been submitted. Hotel Wars.ca actively encourages honesty and forwardness with regards to doing business. The hotel is responsible for becoming and remaining in good standing with Hotel Wars.ca and it’s affiliates. Sales market reconnaissance such as a seller entering false requests to attain the offers of the other members is strictly forbidden and may result in a public declaration to all members and permanent suspension without refund.
Responsibilities of the Listing Member (buyer) (Client).
Hotel Wars.ca operates a verification process. The buyer must proof read any and all membership forms and bidding forms prior to submission. These forms (AKA RFP’s) must be an accurate description of the request being sought. Should it be discovered that any of the contact information submitted to Hotel Wars.ca be invalid or incomplete, Hotel Wars.ca reserves the right to remove the listing immediately with no discourse. Hotel Wars.ca reserves the right to remove, alter, edit any and all listings and memberships without prejudice. When completing a membership form or RFP (bidding form) you must be of legal age, and hold authority to represent the buyer.
The Lising Member and Bids.
You are not required to accept bids. However, the buyer must reply to at least one bid to ensure the validity with the perspective seller. The ability to disclose your identification is a responsibility that is solely attached to the buyer. However, should Hotel Wars.ca reveal any contact information be disclosed by way of technical or common error the buyer agrees to not pursue legal or compensatory damages in any way or form. The buyer acknowledges and accepts this risk. The buyer is responsible for becoming and remaining in good standing with Hotel Wars.ca and it’s affiliates. Hotel Wars.ca actively encourages honesty and forwardness with regards to doing business. During the bidding process, Hotel Wars.ca wishes to request that the buyer initiate an active email correspondence or open dialogue with the bidders. Doing so often increases the chance that an agreement can be struck. Automatic compiling and submission of RFP’s by a third party software or bot will result in a permanent ban and may possibly lead to a legal dispute regarding any compensatory damages resulting from this misuse.
Privacy Policy.
Hotel Wars.ca views the protection of our members and users identification and privacy is very important to our principles of fair play and good business. Hotel Wars.ca recognizes that the internet harbors many information predators and has protected itself accordingly. Hotel Wars.ca does will not sell, distribute, advertise, or rent your personal information to third parties without expressed written consent. All submitted information is used solely for the operation of this site, it's programs and community emails. www.HotelWars.ca runs from two very modern servers located in the United States of America. The limited members of Hotel Wars.ca staff whom are authorized to have direct access to user contact information and identification are few. Membership and user information is required for the day to day operation of Hotel Wars.ca. As a networking liaison for the tour and travel industry, we rely on the ability of the web to provide a safe and secure network for our business environment. If you object to your Information being transferred or used in this way please do not use our services. Our website operates based on our members ability to be well informed and contected by email accounts. These accounts will be added to our community mailing list. Periodically sent e-community events, reminders, verification emails, as well as suggestions on how to increase successful bids, and bidding requests.
